Sale and agreement to sell

A contract of sale transfers or agrees to transfer property in goods for a price; where the transfer is to take place later or on a condition, it is an agreement to sell.

Condition and warranty

A condition is a stipulation essential to the main purpose whose breach gives a right to repudiate; a warranty is collateral and its breach gives only damages.

SoGA · 16

Implied conditions as to quality or fitness

No implied warranty of fitness except where the buyer makes known the purpose and relies on the seller's skill, or goods are bought by description from a dealer (merchantable quality).

SoGA · 39

Delivery to carrier

Delivery of goods to a carrier for transmission to the buyer is prima facie delivery to the buyer, subject to a reasonable contract with the carrier.

SoGA · 55

Suit for price

Where property has passed and the buyer wrongfully neglects or refuses to pay, the seller may sue for the price.

SoGA · 59

Remedy for breach of warranty

The buyer may set up the breach in diminution of the price or sue for damages; the buyer is not entitled to reject the goods for breach of warranty alone.
